1. Terms of Use
These Terms of Use (the “Terms”) form a legally binding agreement between Cyrenium LLC, a Texas limited liability company, with its principal business address at 957 E NASA Pkwy, Unit 2187, Houston, TX 77058 (“Cyrenium,” “we,” “us,” or “our”), and each person or entity that accesses or uses the Cyrenium website, applications, course pages, live-session features, messaging tools, payment flows, digital-download features, educator storefronts, student dashboards, support tools, and related services (collectively, the “Services”). By creating an account, browsing, purchasing, enrolling, uploading content, listing courses, hosting live sessions, submitting reviews, communicating through the platform, or otherwise using the Services, you agree to these Terms and to the policies incorporated into them by reference. 1.1 Eligibility and acceptance
You may use the Services only if you have legal capacity to enter a binding agreement. Unless Cyrenium expressly offers a feature for supervised minors, account registration is limited to users who are at least eighteen (18) years old or the age of legal majority in their jurisdiction, whichever is higher. If Cyrenium later permits limited access for minors, any such use must occur only under the supervision and consent of a parent or legal guardian and may be subject to separate rules.
If you use the Services on behalf of a business, school, educator team, institution, or other organization, you represent that you have authority to bind that entity to these Terms.
Cyrenium may update these Terms, the Privacy Policy, Refund Policy, Educator Policy, DMCA or intellectual-property policy, Community Guidelines, and other incorporated policies from time to time. Cyrenium will provide notice of material changes by posting the updated version on the Services (and updating the “Last Updated” date) and, where required by law or where Cyrenium determines appropriate, by additional notice such as email or an in-product notification. Unless a later effective date is stated, updates become effective when posted; however, changes will not apply retroactively to disputes arising from events that occurred before the effective date, and will not eliminate access to any Services you have already purchased during the applicable access period (except as required by law or as expressly permitted under the applicable Refund Policy). Continued use of the Services after an updated version becomes effective means you accept the revised terms to the extent permitted by law.
1.2 Accounts and account security
To access protected features, students and educators must create an account using accurate, current, and complete information and must keep that information updated. You are responsible for all activity that occurs under your account, including maintaining the confidentiality of passwords, codes, PINs, login credentials, and any account-recovery methods.
Students are responsible for joining live sessions using the account and display name associated with their Cyrenium registration. Educators may verify participant identity before or during a session and may admit, deny entry to, or remove participants who cannot be reasonably identified or whose displayed information does not match the enrollment records. These measures are intended to help prevent unauthorized access, protect paid content, maintain class security, and provide a safe and professional learning environment.
Sharing credentials, allowing another person to use your account, creating alter-ego accounts, impersonating another person, misrepresenting your affiliation, using false identity information, or attempting indirect or spoofed access is prohibited.
Cyrenium may suspend, restrict, require additional verification for, or close an account (including restricting or removing listings and withholding, delaying, or suspending payouts) if we reasonably suspect unauthorized access, fraud, misuse, policy violations, sanctions risk, suspicious payment activity, identity misrepresentation, or security compromise, or if we need to verify or re-verify identity, credentials, or eligibility, or to investigate suspected violations. Educators must complete identity verification through Cyrenium’s third-party identity verification provider (currently Veriff) as part of sign-up and, upon request, must provide a current resume/CV and two (2) professional references (who may be contacted if further verification is reasonably required); to the extent Veriff processes Personal Data on Cyrenium's behalf, it does so as a processor/service provider (as applicable) under contractual obligations to protect it, comply with applicable privacy and data protection laws, and use it only as necessary to provide services to Cyrenium. You may request account closure at any time; however, educator account-closure requests may require up to five (5) business days for review and processing, and certain records may be retained as described in these Terms and the Privacy Policy.
1.3 Scope of services
Cyrenium operates as a marketplace and platform that enables independent educators to offer educational content, tutoring, live sessions, digital materials, and related learning experiences. Cyrenium is not the employer of educators and, except where expressly stated in a separate written agreement, does not create or control educator content in the manner of a school, university, accrediting body, licensing board, medical provider, or healthcare institution, and nothing in the Terms creates an employment, agency, partnership, joint venture, or franchise relationship between Cyrenium and any educator.
Cyrenium may interact with third-party tools, including payment processors, video-meeting tools, email services, analytics services, cloud hosting providers, calendar tools, and authentication services. Those services may have their own terms and privacy practices.
1.4 Personal, limited use license
Subject to your compliance with these Terms, Cyrenium grants you a personal, limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful educational purposes only. Cyrenium reserves all rights not expressly granted.
This license does not permit resale, republication, unauthorized recording, screen capture for redistribution, public display, scraping, automated harvesting, reverse engineering, circumvention of security features, account sharing, or commercial exploitation of platform content unless expressly authorized by Cyrenium in writing.
1.5 Electronic signatures, electronic records, and electronic communications
By creating an account, clicking to accept these Terms, purchasing or enrolling in any offering, submitting information through the Services, or otherwise transacting with Cyrenium electronically, you agree to use electronic signatures, electronic records, and electronic communications. You agree that your electronic acceptance of these Terms, any consent, notice, disclosure, acknowledgment, or other record has the same legal effect as a handwritten signature and satisfies any legal requirement that such record be in writing or signed, to the fullest extent permitted by law.
You also consent to receive agreements, receipts, disclosures, notices, policy updates, transactional communications, and other records electronically through the Services, by email, or by other electronic means used by Cyrenium. You are responsible for maintaining a current email address, reviewing your account for notices, and retaining copies of electronic records for your files.
2. Student Purchase, Enrollment, and Access Rules
2.1 Limited license; no sale of content
When you purchase or enroll in an on-demand course, live session, digital product, or, if offered in the future, subscription-based service, or other paid learning resource through Cyrenium, you receive a limited, revocable, personal, non-exclusive, non-transferable license to access and view the content through the platform for your own lawful educational use. Content is licensed, not sold.
Except as expressly permitted by Cyrenium in writing, students may not copy, download, record, screen-capture, reproduce, distribute, publicly display, resell, sublicense, share with others, upload elsewhere, or use purchased content for commercial or institutional redistribution.
2.2 Duration of access to the On-Demand courses
Unless otherwise stated on the applicable course page, purchased on-demand educational content includes access for six (6) months from the date access is first granted.
Cyrenium permits educators to select a longer access period for their individual courses. The applicable access duration for each course will be clearly displayed on the course page. By purchasing a course, the learner acknowledges and agrees to the access period specified for that course.
Once the applicable access period expires, the learner's access to the course and its platform-hosted materials may be suspended or terminated without refund unless otherwise required by law or expressly stated by Cyrenium or the educator.
The expiration of the access period does not affect downloadable materials (PDF files) that were lawfully made available for download and downloaded during the access period, which may continue to be retained and used by the purchaser in accordance with the applicable license and these Terms.
Cyrenium reserves the right to remove, suspend, or restrict access to any course or content before the stated access period expires when reasonably necessary, including, but not limited to: comply with legal obligations, enforce platform policies, address intellectual-property claims, protect users, resolve disputes, respond to safety or security concerns, maintain the integrity and operation of the platform, or if an educator's account or a user's account is suspended or terminated under these Terms. If access is terminated before the stated access period expires, Cyrenium may provide affected students with a full or partial refund or account credit based on the circumstances of the termination. Any refund eligibility is otherwise governed by Section 13 (Refunds) and may require submission of the applicable order or receipt number matching the purchaser's Cyrenium account.
Access does not guarantee educator availability, direct support, future compatibility with all devices, or continued availability of third-party tools. Educators may update on-demand courses at their discretion, and Cyrenium may require periodic updates (including at least once every two (2) years for certain categories) as a condition of continued listing, visibility, or sale.
2.3 Live sessions and communications
Live sessions are scheduled learning events and may be delivered through integrated third-party tools such as video platforms. Cyrenium may facilitate scheduling, reminders, access links, attendance records, or support, but Cyrenium does not guarantee uninterrupted live delivery, student attendance, network stability, or a specific educational result. Refunds, credits, or rescheduling (if any) for educator no-shows, educator technical failures, or session interruptions are governed exclusively by Section 13 (Refunds), including applicable notice deadlines.
Users are expected to communicate through Cyrenium-approved channels. Educators may not require students to move off-platform to receive purchased services, support, or access to learning. For live sessions, Cyrenium may use third-party tools (including Recall AI) to capture non-image attendance snapshots (e.g., participant name lists) at the beginning, during, and end of a session to administer sessions, prevent fraud, and resolve disputes, including refund disputes; to the extent such tools process Personal Data on Cyrenium's behalf, they do so as processors/service providers (as applicable) under contractual obligations to protect it, comply with applicable privacy and data protection laws, and use it only as necessary to provide services to Cyrenium. You acknowledge that Cyrenium may use and rely on such records for these purposes.
2.3.1 Third-party video conferencing services.
Cyrenium may provide educators with access to a third-party video conferencing service, such as Google Meet, for the purpose of conducting live educational sessions. At the time these Terms become effective, the standard conferencing service provided through the Services may be subject to a meeting duration limit of approximately forty-five (45) minutes, or such other limits and feature restrictions as may be established by the applicable third-party provider from time to time. Educators acknowledge and agree that all meeting duration limits, participant limits, recording capabilities, and other conferencing features are determined solely by the applicable third-party provider and may be modified, suspended, or discontinued at any time without notice. Cyrenium has no control over, and assumes no responsibility or liability for, any changes made by such providers. Educators who require longer meeting durations or access to additional conferencing features are solely responsible for obtaining and maintaining any necessary subscription, license, or account directly with the applicable third-party provider. Cyrenium is not obligated to provide, subsidize, reimburse, or upgrade any premium video conferencing services on behalf of educators. Cyrenium shall not be liable for any interruption, limitation, technical issues, or inability to conduct a live session resulting from the policies, availability, or performance of any third-party video conferencing provider. This subsection is in addition to, and does not limit, the third-party services provisions in Section 9.3 and the disclaimers and limitations of liability in Section 10.
2.4 No academic credit or certification guarantee
Participation in tutoring, courses, live sessions, Intensive live courses, notes, review sessions, or digital downloads on Cyrenium does not grant academic credit, college or university recognition, licensure, board eligibility, continuing education credit, professional certification, employment eligibility, or guaranteed exam success unless an offer expressly states that such recognition exists and identifies the responsible credentialing body. Cyrenium is not a degree-granting institution.
2.5 Student responsibility
Students are responsible for reviewing course descriptions, prerequisites, schedule details, refund rules, access windows, educator profile information, language of instruction, technology requirements, and any applicable third-party requirements before purchase.
Students must not rely on Cyrenium content as the sole source for academic, licensing, clinical, or professional decisions. Students should verify important information with official textbooks, school syllabi, faculty guidance, licensing-board materials, institutional policies, and current professional guidelines.
2.6 Future subscription services
Cyrenium may, in the future, offer subscription-based services, memberships, recurring billing plans, or automatically renewing access programs. If Cyrenium introduces any such offering, additional terms governing billing frequency, free trials, renewal timing, cancellation procedures, effective cancellation dates, renewal notices, and any applicable auto-renewal disclosures will be presented at the time of sign-up, checkout, or enrollment, or incorporated into these Terms by update. Unless and until such subscription terms are expressly presented, no provision of these Terms will be interpreted to create a recurring payment obligation that is not clearly disclosed at the time of purchase.
3. Educator Terms and Marketplace Rules
3.1 Independent educator status
Each educator, instructor, peer tutor, or content provider on Cyrenium acts as an independent provider and not as Cyrenium’s employee, agent, partner, joint venture, franchisee, or representative merely by using the platform, and has no authority to bind Cyrenium or to make any representations or commitments on Cyrenium's behalf. Educators are solely responsible for their qualifications, advertising claims, curriculum choices, instructional methods, interactions with learners, and compliance with applicable laws, institutional rules, professional obligations, and third-party rights. Cyrenium may, but is not obligated to, conduct educator onboarding, identity verification, CV or resume review, reference checks, sanctions screening, or other trust-and-safety review measures. Cyrenium may request identity documents, curriculum vitae, licensing or certification information, professional background details, and contact details for referees, and may contact referees or other sources where reasonably necessary to evaluate platform eligibility, safety, or compliance. Cyrenium’s review and verification processes are limited in scope, may not be continuous, and do not constitute an endorsement, guarantee, certification, or warranty of any educator’s identity, qualifications, licensure, certification status, professional standing, legal compliance, competence, instructional quality, or suitability for any user’s specific needs. Users remain solely responsible for evaluating whether any educator or educational content is appropriate for their purposes.
To promote transparency and platform integrity, Cyrenium may provide features that allow learners to submit ratings, reviews, comments, and reports regarding educators or educational content. Learners may also flag educators or content for suspected policy violations, misconduct, inaccurate information, or other concerns. Cyrenium may review such feedback or reports and take action in its sole discretion, including requesting additional information, investigating the matter, removing content, restricting platform features, suspending or terminating educator accounts, or taking no action where appropriate. The availability of ratings, reviews, comments, or reporting tools does not constitute a guarantee or warranty by Cyrenium regarding the quality, accuracy, legality, or suitability of any educator or educational content.
3.2 Educator content obligations
Educators must upload or provide only content they own or have permission to use and must ensure that course pages, descriptions, handouts, presentations, quizzes, recordings, assignments, downloadable files, and other materials are accurate to the best of their knowledge, lawful, original or properly licensed, and appropriately tailored to the audience described.
Educators may not falsely claim accreditation, guaranteed exam outcomes, guaranteed grades, guaranteed licensure, guaranteed employment, medical effectiveness, institutional affiliation, or other assured results unless such claims are true, lawful, substantiated, and expressly authorized by Cyrenium in writing. Educators must not provide medical advice, diagnosis, or treatment, and must not hold themselves out as providing healthcare services through the platform.
3.3 Content relevance policy
Cyrenium is designed as an academic and professional learning platform focused on health, medical, dental, pharmacy, nursing, allied health, basic science, research, and related educational fields. Content should remain clearly linked to formal curricula, academic learning objectives, licensure preparation, board-style review, professional skill development, or comparable structured educational use.
Cyrenium may reject, remove, or limit content that is off-topic, primarily lifestyle-oriented, general-public wellness content, unrelated influencer material, misleading, low quality, unsafe, infringing, or otherwise inconsistent with the platform’s academic focus, including without limitation any medial advice, diagnosis or treatment.
3.4 Off-platform diversion prohibited
Educators may not use Cyrenium to divert learners to personal websites, private groups, social-media pages, external payment links, private booking systems, competing platforms, or outside tutoring businesses for substantially similar paid services offered through Cyrenium, unless Cyrenium expressly permits that activity in writing.
Repeated attempts to redirect students off platform, cancel platform bookings for private rebooking, or bypass Cyrenium’s marketplace fees may result in content removal, payout holds, loss of platform privileges, account termination, and other remedies allowed by law or contract.
3.5 Instructor-student communications and sensitive data
Cyrenium may provide messaging, chat, support, email, or notification features for learning-related communication. Users should not share highly sensitive personal information through the platform, including government identification numbers, payment card numbers, banking credentials, private home addresses, unnecessary medical information, patient identifiers, or other information that creates elevated privacy, safety, or fraud risk. Without limiting the foregoing, users must not upload, submit, post, message, transmit, or otherwise make available through the Services any patient records, medical charts, clinical notes, prescriptions, diagnostic images, laboratory results, billing records, insurance information, protected health information, personally identifiable health data, screenshots from electronic medical record or electronic health record systems, or any other content that identifies or could reasonably be used to identify a patient or reveal a patient’s condition, treatment, or care. If a user submits de-identified educational materials, that user is solely responsible for ensuring the materials are fully de-identified and may be lawfully used for educational purposes. Cyrenium may remove suspected prohibited health information without notice and may suspend or terminate access, preserve evidence, and make disclosures where required by law or reasonably necessary to protect users, patients, or the platform.
If a user voluntarily shares information outside approved platform channels, that person assumes the resulting risk to the fullest extent permitted by law.
3.6 Educator earnings and Cyrenium service fee
Cyrenium's current educator compensation model is described in this Section 3.6 and is subject to change in accordance with these Terms.
Subject to these Terms and any applicable educator agreement, eligible revenue from completed transactions is currently shared as follows:
- One-on-one live tutoring sessions: 75% to the educator; 25% retained by Cyrenium.
- Digital PDFs and downloadable materials: 70% to the educator; 30% retained by Cyrenium.
- Live group sessions and boot camps: 70% to the educator; 30% retained by Cyrenium.
- Recorded on-demand courses: 60% to the educator; 40% retained by Cyrenium.
Cyrenium currently covers standard payment processing fees and ordinary platform operating expenses, including website hosting and infrastructure, platform development and maintenance, security measures, cloud services, technical support, payment collection and distribution fees, customer support, platform administration, routine software integrations, and ongoing platform improvements.
Approved refunds, chargebacks, payment reversals, fraud-related losses, intellectual-property disputes, and other transaction-specific adjustments will be administered and allocated in accordance with Section 13 (Refunds), these Terms, and applicable law.
As our community grows, we may introduce new educator programs, benefits, promotional opportunities, and compensation options designed to better support both educators and learners. If changes to educator compensation are ever made, we will communicate them at least thirty (30) days in advance and apply them only to future transactions.
4. Privacy and Data Use
Cyrenium may collect and process account details, transaction information, course activity, attendance data, communications metadata, support records, device and browser information, approximate location data, educator payout information, ratings and reviews, identity-verification information, fraud-risk indicators, and other information reasonably necessary to operate, secure, improve, and market the Services, in accordance with applicable privacy and data protection laws (including, where applicable, the CCPA/CPRA and the GDPR/UK GDPR).
Cyrenium may use cookies, pixels, local storage, SDKs, analytics technologies, and similar tools subject to applicable law (including, where applicable, requirements to provide notice and obtain consent). These tools may help keep users signed in, remember preferences, measure traffic, support marketing, personalize content recommendations, detect fraud, and improve platform performance.
Cyrenium may use collected information to authenticate accounts, process payments and refunds, provide customer support, personalize content recommendations, prevent fraud, enforce policies, analyze platform performance, communicate with users, comply with legal obligations, and protect Cyrenium, users, educators, payment processors, and third parties, in accordance with applicable privacy and data protection laws.
Users may request deletion, access, correction, or other rights where required by law (including, where applicable, rights under the CCPA/CPRA and the GDPR/UK GDPR). Cyrenium may retain records as reasonably necessary for legal compliance, dispute resolution, tax obligations, enforcement, backups, fraud prevention, accounting, security, and legitimate business operations.
Cyrenium may rely on third-party service providers, such as payment processors, cloud hosting providers, analytics vendors, communications tools, AI tools, identity check tools, and video or meeting integrations, to help provide, secure, and improve the Services. To the extent such providers process Personal Data on Cyrenium’s behalf, they do so as processors/service providers (as applicable) under contractual obligations to protect it, comply with applicable privacy and data protection laws, and use it only as necessary to provide services to Cyrenium. Where a third-party processes data as an independent controller, that processing is governed by the third party’s own terms and privacy practices.
This Section 4 forms part of these Terms and describes Cyrenium’s baseline privacy practices for the Services. Cyrenium has published and updated a separate Privacy Policy and a separate Cookie Policy, each of which is hereby incorporated into these Terms by reference. In the event of a direct conflict between this Section 4 and the separate Privacy Policy or Cookie Policy, the separate policy will control to the extent of the conflict.
Cyrenium will maintain reasonable administrative, technical, and physical safeguards designed to protect Personal Data, and if Cyrenium becomes aware of a Personal Data breach, Cyrenium will notify affected users and/or applicable supervisory authorities as required by applicable law.
5. Payments, Taxes, Refunds, and Chargebacks
5.1 Payment authorization
By purchasing a course, tutoring session, subscription, digital product, or other paid service through Cyrenium, you authorize Cyrenium and its third-party payment processors to charge your selected payment method for the applicable purchase price, taxes, recurring subscription charges (if applicable), and any other amounts clearly disclosed at checkout or otherwise agreed to by you. You acknowledge that, for purchases of educator offerings, Cyrenium acts as the educator’s limited payment collection and refund-processing agent, collecting amounts from Students on the educator’s behalf, subject to these Terms and Cyrenium’s platform policies and administration, and the educator remains the seller of record for the educator’s offerings.
All payments must be made through payment methods approved by Cyrenium. You are responsible for providing accurate and up-to-date payment information and for ensuring sufficient funds are available to complete authorized transactions.
Educator payouts are subject to the applicable revenue-sharing, payout, refund, and chargeback policies in effect at the time of the transaction, including Cyrenium’s administration of refunds and chargebacks under Section 13 (Refunds) as the educator’s limited refund-processing agent.
5.2 Taxes
Where required by law, Cyrenium may calculate, collect, and remit applicable sales taxes, value-added taxes (VAT), goods and services taxes (GST), or similar transaction-based taxes on purchases made through the platform. Any taxes collected at checkout will be displayed to the user before completing a purchase whenever required.
Educators and users remain responsible for their own personal tax obligations, including any income, self-employment, business, withholding, or similar taxes arising from their earnings, purchases, or activities on the platform. Cyrenium does not provide tax advice, and users are encouraged to consult a qualified tax professional regarding their individual tax responsibilities.
5.3 Chargebacks and payment disputes
If you initiate a chargeback or payment dispute after receiving access to purchased content, services, courses, tutoring sessions, live events, or other platform offerings, Cyrenium may temporarily restrict your account, revoke access to content, investigate the dispute, and provide relevant records to the payment processor or financial institution. Such records may include transaction information, access logs, attendance records, communications, and acknowledgements of applicable platform policies.
Cyrenium reserves the right to deny future purchases, refund requests, or platform access for users who engage in fraudulent, abusive, or repeated chargeback activity. Nothing in this section limits any rights that cannot be excluded under applicable law.
5.4 Fraud prevention, identity verification, sanctions screening, payout delays, and reserves
To protect the platform, users, educators, payment systems, and third parties, Cyrenium may conduct identity verification, tax verification, payment verification, fraud screening, sanctions screening, anti-money laundering review, chargeback review, and other compliance or risk checks in connection with any account, enrollment, transaction, payout, withdrawal request, refund, or educator onboarding process.
Cyrenium may request additional information or documentation at any time, including government-issued identification, proof of authority, address verification, or other materials reasonably necessary to verify identity, eligibility, ownership, payment authority, or compliance.
Cyrenium may delay, withhold, condition, offset, reverse, or place a reserve on payouts, credits, refunds, or account balances if Cyrenium reasonably suspects fraud, unauthorized activity, sanctions risk, payment irregularity, chargeback risk, policy violations, misrepresentation, unlawful conduct, educator non-performance, or any circumstance that may expose Cyrenium, users, payment processors, or third parties to loss, liability, or reputational harm.
Cyrenium may continue to hold funds for a reasonable period after account suspension, termination, or deletion to address chargebacks, refunds, disputes, investigations, legal process, compliance obligations, tax issues, or losses. Cyrenium is not obligated to release held funds until the relevant review is completed to Cyrenium’s reasonable satisfaction.
6. Intellectual Property, DMCA, and Content Rights
6.1 Services intellectual property
The Cyrenium name, branding, website content, platform interface, software, graphics, text, features, workflows, and other proprietary materials made available through the platform are owned by Cyrenium or used with permission and are protected by applicable intellectual property and other laws.
Educators retain ownership of the original content they create and upload to the platform, including courses, notes, presentations, recordings, assessments, study materials, and other educational content, subject to the licenses granted to Cyrenium under these Terms. Students and other users receive only a limited, non-transferable right to access purchased content for their personal educational use and do not acquire ownership of such content.
6.2 User and educator content ownership and platform license
Users and educators retain ownership of the intellectual property rights they hold in the content they create, upload, submit, publish, teach, sell, or otherwise make available through Cyrenium.
By uploading or making content available through the Services, you grant Cyrenium a worldwide, non-exclusive, irrevocable (except as expressly provided in these Terms), royalty-free license to host, store, reproduce, format, display, distribute, promote, market, and otherwise use such content as reasonably necessary or useful to operate, provide, improve, support, and promote the Services and the content offered through the platform.
This license allows Cyrenium to make content available to enrolled learners, display educator profiles and course information, create platform previews and promotional materials, provide customer support, maintain backups, comply with legal obligations, investigate disputes, and perform other activities reasonably related to operating the platform.
Except as otherwise agreed in writing, Cyrenium does not acquire ownership of educator content and does not sell educator content to third parties.
This license continues only for so long as reasonably necessary to (a) provide access to learners who enrolled or purchased access before the content was removed or the account was closed, (b) complete and administer transactions and related customer support, refunds, and chargebacks, (c) maintain records and comply with legal obligations, (d) resolve disputes and enforce agreements, and (e) maintain and restore backups for a reasonable period. Cyrenium will not feature or prominently use removed content in new promotional or marketing materials after removal or account closure, except as required by law or as necessary to address claims, disputes, or enforcement matters.
6.3 Restrictions on copying and derivative use
Except as expressly permitted in writing, users may not copy, modify, reformat, lease, loan, sell, distribute, encode, post, publicly display, publish, republish, reproduce, translate, upload, scrape, mirror, frame, reverse engineer, create derivative commercial products from, or otherwise exploit any part of the Services, platform materials, educator materials, or paid content.
Unauthorized use, copying, distribution, sharing, resale, or misappropriation of Cyrenium content or educator content may result in suspension or termination of platform access, removal of content, forfeiture of applicable privileges, and any other remedies available under these Terms or applicable law.
6.4 Unauthorized Distribution of Educator Content
Educators acknowledge that digital educational content may be subject to unauthorized copying, recording, downloading, sharing, or distribution by third parties despite reasonable security measures. While Cyrenium may implement commercially reasonable safeguards and may investigate reported violations or take enforcement actions it deems appropriate under these Terms, Cyrenium does not guarantee that unauthorized access, copying, or distribution will never occur. To the fullest extent permitted by applicable law, Cyrenium shall not be liable for any losses, damages, claims, or expenses arising from the unauthorized copying, recording, downloading, sharing, distribution, or other misuse of educator content by students or other third parties, except to the extent directly resulting from Cyrenium's own gross negligence, willful misconduct, or violation of applicable law. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH EDUCATOR HEREBY IRREVOCABLY AND UNCONDITIONALLY RELEASES, WAIVES, AND FOREVER DISCHARGES CYRENIUM AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES (COLLECTIVELY, THE "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, LIABILITIES, LOSSES, DAMAGES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO THE UNAUTHORIZED COPYING, RECORDING, DOWNLOADING, SCREEN CAPTURE, SHARING, DISTRIBUTION, REPUBLICATION, OR OTHER MISUSE OF EDUCATOR CONTENT BY STUDENTS OR OTHER THIRD PARTIES, EXCEPT TO THE EXTENT SUCH CLAIMS RESULT DIRECTLY FROM A RELEASED PARTY'S OWN GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR VIOLATION OF APPLICABLE LAW. EACH EDUCATOR KNOWINGLY AND VOLUNTARILY WAIVES THE BENEFIT OF ANY STATUTE OR LEGAL PRINCIPLE THAT WOULD OTHERWISE LIMIT THE EFFECT OF THIS RELEASE TO CLAIMS THAT THE EDUCATOR KNOWS OR SUSPECTS TO EXIST AT THE TIME OF THIS RELEASE.
6.5 Infringement complaints; DMCA-style process
Educators are solely responsible for ensuring that they possess all necessary rights, licenses, permissions, and authorizations to upload, distribute, teach, sell, and make content available through the platform.
If any claim, complaint, demand, legal proceeding, regulatory action, settlement, judgment, damage, loss, cost, or expense arises from an educator's content or the educator's alleged infringement of copyright, trademark, intellectual-property, privacy, publicity, or other rights, the educator shall be solely responsible for such content and shall indemnify, defend, and hold harmless Cyrenium, its owners, officers, employees, affiliates, contractors, and representatives from and against any resulting claims, liabilities, damages, losses, costs, refunds, chargebacks, settlements, and reasonable legal expenses.
If content is removed, disabled, restricted, or permanently taken down due to a valid intellectual-property claim, legal violation, breach of these Terms, educator misconduct, fraud, or a determination that the educator did not have the necessary rights or authorization to provide the content through the platform, Cyrenium may, but is not obligated to, issue refunds, credits, or other remedies to affected purchasers except where required by applicable law. Any such refunds, credits, chargebacks, fees, costs, damages, settlements, legal expenses, or related amounts shall be the sole responsibility of the responsible educator, and Cyrenium may recover such amounts by deduction from current or future payouts or by requiring reimbursement.
Cyrenium reserves the right to remove content, suspend payouts, restrict account access, terminate accounts, and take any other actions reasonably necessary to protect the platform, its users, educators, and its legal interests.
6.6 DMCA and intellectual-property complaint policy
(a) Designated agent and where to send notices. Cyrenium’s designated agent to receive notices of claimed copyright infringement (the “Designated Agent”) may be contacted at: Email: [email protected]. Mail: Cyrenium, 957 E NASA Pkwy, Unit 2187, Houston, TX 77058. Cyrenium may update the Designated Agent contact information by posting an updated address on the Services. (b) Notice of claimed infringement (copyright). If you believe that content available through the Services infringes a copyright you own or control, you may submit a written notice to the Designated Agent. To be effective, the notice must include: (i) a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf; (ii) identification of the copyrighted work claimed to have been infringed (or, if multiple works are covered by a single notice, a representative list); (iii) identification of the material claimed to be infringing and information reasonably sufficient to permit Cyrenium to locate the material on the Services (for example, the course name, educator name, URL, and screenshots); (iv) your name, mailing address, telephone number, and email address; (v) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf. (c) Counter-notice. If you believe that material you posted to the Services was removed or disabled as a result of mistake or misidentification, you may submit a counter-notice to the Designated Agent. To be effective, the counter-notice must include: (i) your physical or electronic signature; (ii) identification of the material that has been removed or disabled and the location at which the material appeared before it was removed or disabled; (iii) a statement, made under penalty of perjury, that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; (iv) your name, mailing address, telephone number, and email address; and (v) a statement that you consent to the jurisdiction of the United States District Court for the Southern District of Texas, and that you will accept service of process from the person who provided the original notice (or an agent of that person). (d) Cyrenium’s response; restoration. Upon receipt of a compliant notice, Cyrenium may remove or disable access to the identified material and may notify the user who posted it. Upon receipt of a compliant counter-notice, Cyrenium may provide a copy to the original complaining party and, where applicable, may restore the material within a reasonable period unless Cyrenium receives notice that the complaining party has filed an action seeking a court order to restrain the allegedly infringing activity. Cyrenium may also take other actions described in these Terms, including under Sections 6.5, 7, and 12.5. (e) Repeat infringer policy. Cyrenium may, in appropriate circumstances and in its reasonable discretion, suspend or terminate the accounts of users or educators who are the subject of repeated valid infringement notices or who repeatedly upload or make available content that infringes the rights of others. Cyrenium may also remove or restrict access to content, suspend payouts, or impose listing restrictions for repeated or egregious infringement. (f) Trademark and other intellectual-property complaints. For complaints involving trademarks, rights of publicity, or other intellectual-property rights (other than copyright), you should send a written complaint to the Designated Agent with (i) identification of the right claimed to be infringed, (ii) the jurisdiction(s) in which you claim rights, (iii) information reasonably sufficient to locate the material on the Services, (iv) an explanation of why you believe the material is infringing, and (v) your contact information and a statement that the information is accurate to the best of your knowledge. Cyrenium may request additional information reasonably necessary to evaluate the complaint. (g) Misrepresentations. Submitting knowingly false, misleading, or bad-faith notices or counter-notices may result in account action under these Terms and may expose the sender to liability under applicable law. (h) No duty to monitor. Cyrenium does not undertake an obligation to monitor the Services for infringement and may act on notices and other information in its discretion, subject to applicable law.
6.7 Feedback
If you provide feedback, ideas, enhancement requests, or suggestions regarding the Services, you agree that Cyrenium may use them without restriction or compensation, unless prohibited by law.
7. Community Standards, Safety, and Enforcement
All users must behave lawfully, respectfully, and professionally. Prohibited conduct includes, but is not limited to, harassment, threats, hate speech, discrimination, impersonation, unauthorized advertising, misleading or false claims, cheating assistance where prohibited, malware distribution, scraping, unauthorized account access, misuse of payment systems, publication of unlawful content, infringement of another person’s rights, and conduct that interferes with another user’s ability to use the Services.
Users may not interfere with or attempt to damage the Services, including through denial-of-service attacks, flood pings, forged routing or email information, phishing, Trojan horses, viruses, bots, scraping tools, packet or IP spoofing, vulnerability scanning, probing, reverse engineering, or any method that imposes an unreasonable load on Cyrenium systems or third-party systems connected to the Services.
Students may post reviews, assignments, questions, comments, or course-related messages only if they are truthful, original, lawful, respectful, and based on genuine experience. Cyrenium may remove reviews or comments that are abusive, irrelevant, misleading, extortionate, incentivized in a prohibited way, defamatory, fake, retaliatory, or otherwise unreliable. Each user is solely responsible for all content that the user uploads, submits, posts, publishes, displays, messages, transmits, or otherwise makes available through the Services, including reviews, ratings, comments, profile information, messages, course materials, assignments, and other user-generated content. By submitting content, the user represents and warrants that the content is accurate to the best of the user’s knowledge, lawful, non-infringing, and compliant with these Terms. Cyrenium does not endorse, adopt, verify, or assume responsibility for user-generated content, educator statements, student statements, reviews, comments, messages, or other submissions made by users. Any views or statements expressed by users are solely those of the person who submitted them and do not necessarily reflect Cyrenium’s views.
Cyrenium may investigate suspected violations and may remove content, issue warnings, restrict messaging, pause payouts, suspend courses, suspend access, terminate accounts, preserve evidence, and cooperate with law enforcement, regulators, payment processors, or legal process where appropriate. Repeated flagging or reporting, especially when supported by evidence of rule violations, may be considered in enforcement decisions, although Cyrenium is not required to act solely because a complaint was submitted.
8. Health and Educational Disclaimers
Cyrenium is an educational platform only. Cyrenium does not provide, sell, or deliver educational content or services, and any agreement for educational content or services is solely between the user receiving the educational content or services and the applicable educator, except where expressly stated in a separate written agreement. Content made available through the Services is for informational, academic, professional-development, and educational purposes only. It is not medical advice, diagnosis, treatment, legal advice, licensure advice, professional supervision, clinical supervision, or a substitute for formal education, institutional policies, licensing-board requirements, or professional judgment.
Use of Cyrenium does not create a physician-patient, provider-patient, supervisor-trainee, university-student, school-student, employer-employee, accreditor-applicant, or licensing-board relationship between Cyrenium and any user, or between any educator and any user, solely by reason of the educator's use of the platform.
Users should not use Cyrenium for medical emergencies, diagnosis, treatment decisions, patient-specific care plans, or urgent medical questions. If a person has a medical emergency, they should contact emergency services or an appropriate healthcare provider.
Cyrenium does not independently verify every statement made by educators, students, or other users. Students are responsible for verifying information with official textbooks, course syllabi, institutional policies, instructors, licensing boards, professional guidelines, and other authoritative sources.
Cyrenium does not guarantee grades, exam success, admission, certification, licensure, employment, clinical competence, professional outcomes, or the suitability of any educator for a particular learner’s goals. Any educator statement suggesting guaranteed outcomes reflects the educator’s own representation unless Cyrenium expressly adopts it in writing.
9. Services Communications, Ads, Notifications, and Third-Party Services
9.1 Services communications
Cyrenium may contact users through the Services or through contact information provided by the user, including email, in-platform messages, push notifications, text messages, or phone calls where permitted by law and user settings. Communications may include transactional notices, enrollment reminders, live-session links, payment notices, support messages, security alerts, marketing messages, policy updates, and educator or course recommendations.
Users may be able to manage certain marketing preferences, but Cyrenium may still send operational or legally required notices.
9.2 Sponsored content and advertising
Cyrenium may display sponsored content, promotions, educator highlights, platform recommendations, advertisements, and other commercial or informational placements where permitted by law. Sponsored or promotional placements should be identified when required by applicable law or platform policy. Cyrenium does not guarantee that any advertised, sponsored, or recommended content is suitable for a particular user.
9.3 Third-party services and links
The Services may include links or integrations with third-party services, such as payment processors, video platforms, calendars, analytics vendors, cloud hosting providers, identity verification tools, authentication tools, email tools, AI-powered tools, or external educational resources. Cyrenium does not control and is not responsible for third-party services, their availability, terms, privacy practices, content, fees, errors, data handling, or interruptions. Users should review the third party’s own terms and privacy policies.
10. Disclaimers, Liability, and Indemnity
10.1 Services provided as-is
Cyrenium provides the Services and all content on an "as is" and "as available" basis. While we strive to provide a reliable, secure, and high-quality platform, we cannot guarantee that the Services will always be available, uninterrupted, error-free, free from cyber threats or completely secure, or suitable for every user's specific needs. No website, application, network, cloud environment, storage system, or method of electronic transmission is completely secure. Cyrenium does not warrant that the Services will be free from cyberattacks, malware, ransomware, unauthorized access, service interruptions, corruption, data loss, interception, or other security events, including events affecting third-party service providers. Users are responsible for maintaining the confidentiality of their credentials and for using appropriate safeguards, including secure devices, updated software, and secure internet connections.
Cyrenium does not guarantee any particular educational, academic, professional, licensing, certification, examination, employment, or business outcome from the use of the Services or any content provided through the platform.
TO THE FULLEST EXTENT PERMITTED BY LAW, CYRENIUM DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY APPLICABLE LAW.
10.2 Educator independence and no guarantee of results
Cyrenium is not responsible for an educator's curriculum, advice, conduct, omissions, quality of explanation, legal compliance, schedule changes, technical readiness, instructional style, or any promise that a learner will pass an examination, receive a credential, improve grades, obtain licensure, obtain employment, or achieve any particular educational or professional result. Any such representation is made by the educator alone unless Cyrenium expressly adopts it in writing. Even if Cyrenium performs identity verification, reviews CVs or resumes, collects references, contacts referees, or undertakes other onboarding or trust-and-safety measures, those steps do not constitute a guarantee of any educator’s qualifications, credentials, licensing status, good standing, competence, or fitness for any particular purpose.
To promote transparency and accountability, Cyrenium may enable learners to submit ratings, reviews, feedback, complaints, and educator reports through the platform. Learners may also flag educators, content, messages, or activities that they believe violate platform policies, applicable laws, intellectual-property rights, academic integrity standards, or community guidelines. In addition, users may report suspected violations or concerns by emailing [email protected].
Cyrenium may review, investigate, moderate, remove, or respond to such reports and feedback in its sole discretion. However, ratings, reviews, complaints, and flags do not constitute endorsements, guarantees, findings of fact, or representations by Cyrenium regarding the quality, accuracy, legality, safety, or suitability of any educator or content.
Cyrenium reserves the right to suspend, restrict, remove, demonetize, or terminate educator accounts, content, listings, or platform privileges based on but not limited to verified violations, repeated complaints, fraudulent conduct, abuse of the platform, intellectual-property concerns, safety concerns, or other conduct that Cyrenium reasonably determines may harm learners, educators, or the platform.
10.3 Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CYRENIUM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limitation, Cyrenium shall not be liable for any loss of profits, revenue, business opportunities, contracts, goodwill, reputation, data, educational opportunities, examination results, grades, academic decisions, licensure outcomes, certification outcomes, employment opportunities, professional opportunities, business interruptions, content removal, account suspension, account termination, educator conduct, learner conduct, third-party content, intellectual-property disputes, payment disputes, chargebacks, technical failures, service interruptions, security incidents, unauthorized access, or reliance on information made available through the Services.
Cyrenium does not guarantee any educational, academic, licensing, certification, employment, financial, professional, or business outcome from the use of the Services.
To the fullest extent permitted by law, Cyrenium's total aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by the claimant directly to Cyrenium during the six (6) months preceding the event, giving rise to the claim.
The limitations and exclusions contained in this section apply regardless of the form of action, whether based in contract, tort (including negligence), strict liability, statute, equity, or any other legal theory, and shall survive termination of the Services, an account, or these Terms.
10.4 Indemnification
You agree to indemnify, defend, and hold harmless Cyrenium and its affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and partners from and against claims, losses, liabilities, damages, judgments, settlements, costs, fines, and reasonable attorneys’ fees arising out of or related to your content, your use or misuse of the Services, your breach of these Terms, your violation of law, your violation of another person’s rights, your infringement or misappropriation of a third party’s rights, or your misuse of information transmitted, monitored, stored, or received while using the Services.
11. Dispute Resolution and Governing Law
11.1 Informal resolution
Before initiating formal legal action, the complaining party should first send a written notice describing the issue, the relevant facts, contact information, and the proposed resolution. The parties will attempt in good faith to resolve the dispute informally within sixty (60) days unless a shorter period is required by law or urgent equitable relief is needed.
11.2 Small claims or individual arbitration
Except as provided in Section 11.2(a) (Small Claims), any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Cyrenium (each, a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “Rules”), as modified by this Section 11.2; provided, however, that nothing in this Section 11.2 shall prevent either party from seeking preliminary injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this Section 11.2. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS SECTION 11.2 AND THAT YOU AND CYRENIUM ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. The arbitration will be conducted by a single arbitrator. The seat of arbitration and hearing location will be Houston, Texas, unless you and Cyrenium agree otherwise or the arbitrator determines that another location (or a remote hearing) is appropriate. The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable. YOU AND CYRENIUM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. Unless prohibited by applicable law, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding. YOU AND CYRENIUM WAIVE ANY RIGHT TO A JURY TRIAL. IF YOU DO NOT WISH TO BE BOUND BY THIS ARBITRATION PROVISION, YOU MAY OPT OUT BY SENDING WRITTEN NOTICE TO [email protected] WITHIN THIRTY (30) DAYS AFTER YOU FIRST CREATE AN ACCOUNT OR FIRST ACCEPT THESE TERMS (WHICHEVER IS EARLIER), STATING YOUR NAME, ACCOUNT EMAIL, AND A CLEAR STATEMENT THAT YOU DECLINE ARBITRATION. IF YOU TIMELY OPT OUT, SECTION 11.3 (GOVERNING LAW AND VENUE) WILL APPLY TO ANY DISPUTES. If any portion of this Section 11.2 is found unenforceable, the unenforceable portion will be severed and the remainder will be enforced, except that if the class, collective, private attorney general, or representative action waiver is found unenforceable, then this entire Section 11.2 (except the Small Claims provision) will be null and void.
11.2(d) Mass Filings.
If 25 or more similar arbitration demands are asserted against Cyrenium by the same or coordinated counsel or are otherwise coordinated (“Mass Filing”), the parties agree to work in good faith to implement a bellwether process consistent with the AAA’s then-current mass arbitration procedures (or, if the AAA declines to administer, a comparable process administered by JAMS), including the selection and resolution of a limited number of initial cases before the remainder proceed, and any applicable filing fees will be assessed consistent with those procedures.
11.2(c) Relief.
The arbitrator may award any relief that a court of competent jurisdiction could award to the extent necessary to resolve an individual claim, but may not award relief on a class, collective, private attorney general, or representative basis.
11.2(b) Rules and Fees.
The Rules are available at www.adr.org or by calling the AAA. Payment of filing, administration, and arbitrator fees will be governed by the Rules, and Cyrenium will not seek to recover its arbitration fees from you unless the arbitrator determines your claim is frivolous.
11.2(a) Small Claims.
Either you or Cyrenium may bring an individual action in small claims court in the county (or equivalent) where you reside or in Harris County, Texas, if the claim is within that court’s jurisdiction and remains an individual action.
11.3 Governing law and venue
Unless otherwise required by non-waivable law, these Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Cyrenium are governed by the laws of the State of Texas, without regard to conflict-of-law rules. If arbitration is not used or is unavailable for a claim, the state and federal courts located in Harris County, Texas will have exclusive jurisdiction and venue, and each party irrevocably submits to the personal jurisdiction of those courts, subject to applicable consumer-protection law.
11.4 Class and representative action waiver
To the extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative proceeding.
11.5 Time limit for claims
To the extent permitted by law, any claim arising from or related to the Services or these Terms must be brought within one (1) year after the claim arose or was reasonably discovered; provided that this Section does not apply to claims for which applicable law prohibits shortening the time to bring such claims or that must be brought within a longer period under applicable law.
11.6 Notices; legal communications
(a) Notice address and permitted methods. Except as otherwise expressly stated in these Terms, any notice, demand, or other communication that must be provided in writing under these Terms (including a dispute notice under Section 11.1) must be sent to Cyrenium by (i) email to: [email protected], and (ii) if the sender seeks to establish proof of delivery for time-sensitive legal rights, by also sending a copy by nationally recognized overnight courier or certified mail (return receipt requested) to Cyrenium’s then-current mailing address listed on the Services under “Contact and Legal Notices” (or any successor page), currently: 957 E NASA Pkwy, Unit 2187, Houston, TX 77058. Cyrenium may update its notice email or mailing address by posting an updated address on the Services. (b) Required content. A notice under this Section 11.6 must include (i) the sender’s full name, account email, and contact information, (ii) a description of the issue and the relevant facts, (iii) the specific relief requested, and (iv) any supporting documentation reasonably necessary to evaluate the notice. (c) When notice is effective. Notices sent by email are effective when the email is sent, provided that the sender does not receive an automated bounce-back or other notice of non-delivery. Notices sent by courier or certified mail are effective upon confirmed delivery as shown by the carrier’s tracking or return receipt. (d) Other communications. For customer support, refund requests, accessibility requests, or other non-legal communications, users should use the support or contact methods made available through the Services. Those communications are not “notices” for purposes of this Section 11 unless Cyrenium expressly confirms in writing that they will be treated as such.
12. Operational Policies and Special Clauses
12.1 Recommendation systems
Cyrenium may recommend courses, educators, digital materials, live sessions, or content based on user activity, purchase history, search behavior, subject interests, ratings, comparable relevance signals, and platform-performance data.
12.2 Export controls and sanctions
You may not use the Services if doing so would violate applicable export-control, trade, or sanctions laws. You also agree not to use or provide the Services for prohibited end uses or to restricted persons where barred by law.
12.3 Accessibility
Cyrenium aims to make the platform reasonably accessible, but some educator-uploaded or third-party materials may not always meet accessibility standards. Users may contact Cyrenium for reasonable accessibility support requests at the contact information provided on the Services.
12.4 Force majeure
Cyrenium is not liable for delay, interruption, or failure in performance caused by events beyond its reasonable control, including natural disasters, severe weather, internet outages, software or infrastructure failures, cyberattacks, public network failures, electrical shortages, acts of war, terrorism, civil unrest, labor disputes, pandemics, epidemics, public-health emergencies, governmental actions, changes in law or regulation, legal restrictions, sanctions, embargoes, or third-party service interruptions.
12.5 Modification or termination of services
Unless otherwise required by law or prohibited by legal, regulatory, intellectual-property, safety, operational, or technical concerns, learners who purchased an on-demand course before its removal may continue to access the purchased course for a reasonable period determined by Cyrenium. Downloadable products and digital materials, including PDFs, notes, study guides, templates, and similar files that were lawfully purchased and downloaded before removal, termination, or account closure may continue to be retained and used by the purchaser in accordance with the applicable license and these Terms.
If Cyrenium determines that refunds, credits, or other remedies should be provided to affected purchasers as a result of content removal, educator account termination, intellectual-property claims, legal violations, or other circumstances, the cost of such refunds or remedies will be allocated between Cyrenium and the responsible educator in accordance with Section 13 (Refunds) and applicable law.
Cyrenium reserves the right to remove, disable, or restrict access to any content when reasonably necessary to comply with legal obligations, enforce platform policies, protect users, resolve disputes, address intellectual-property claims, or safeguard the platform.
12.6 Entire agreement; severability; no waiver; assignment
These Terms, together with the Privacy Policy, Refund Policy, Educator Policy, DMCA or intellectual-property policy, Community Guidelines, Cookie Policy, and any other policies expressly incorporated by reference, constitute the entire agreement between the user and Cyrenium regarding the Services and supersede prior conflicting understandings relating to the same subject matter.
If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. Users may not assign their rights or obligations without Cyrenium’s consent; Cyrenium may assign these Terms, in whole or in part, to any affiliate, subsidiary, or successor, or in connection with a merger, sale, reorganization, financing, acquisition, asset transfer, or similar transaction, without notice or consent.
12.7 Business Continuity, Insolvency, and Service Discontinuation
Services. However, to the extent permitted by applicable law, in the event that Cyrenium permanently ceases operations due to dissolution, wind-down, insolvency, liquidation, or receivership, Cyrenium reserves the right to suspend or permanently discontinue all or part of the Services. This Section 12.7 does not apply to a merger, acquisition, reorganization, financing, asset transfer, or similar transaction in which a successor continues to operate the Services, which transactions are instead governed by the assignment provisions of Section 12.6 (Entire agreement; severability; no waiver; assignment).
Where reasonably practicable and legally permitted, Cyrenium will make reasonable efforts to provide advance notice to users before permanently discontinuing the Services. During any such notice period, Cyrenium may, at its sole discretion, provide educators and students with a limited opportunity to access or download their own eligible content, subject to technical feasibility, contractual obligations, and applicable law. Cyrenium does not guarantee that such access or download opportunities will be available in every circumstance.
If Cyrenium permanently discontinues the Services under this Section 12.7, students who purchased on-demand courses, live sessions, Intensive Live Courses, multi-session programs, or other paid offerings and who still have a remaining access period or undelivered sessions may be entitled to a refund, credit, or other remedy for the unused or undelivered portion, as determined and administered in accordance with Section 13 (Refunds) and applicable law. In any bankruptcy, insolvency, liquidation, receivership, or other court-supervised proceeding, any such student refunds or credits, like educator earnings, may constitute claims that are administered solely in accordance with applicable law and the applicable proceeding, and Cyrenium does not guarantee that any such amounts will be recoverable or paid beyond what is permitted or required under applicable law.
Cyrenium intends to process educator payouts in accordance with its normal payout schedule and, where reasonably practicable and legally permitted, will make reasonable efforts to process any earned and payable educator balances before permanently discontinuing the Services. Educator earnings become payable only in accordance with Section 14 (Educators' Payout) and the applicable payout schedule and policies, and amounts that are pending or subject to refund periods, payment processing, dispute resolution, chargebacks, fraud review, or other holds may not yet constitute payable earnings. In the event of bankruptcy, insolvency, liquidation, receivership, or any other court-supervised proceeding, any unpaid educator earnings, student refunds, credits, or other financial obligations shall be administered solely in accordance with applicable law and any applicable insolvency or bankruptcy process. Nothing in these Terms shall be construed as a guarantee that any outstanding amounts will be recoverable or paid beyond what is permitted or required under applicable law.
Cyrenium shall not be liable for any loss of access to the Services, educational content, user data, communications, recordings, or other materials resulting from the permanent discontinuation of the Services due to the circumstances described in this Section 12.7, except where such liability cannot be excluded under applicable law. This Section 12.7 is in addition to, and does not limit, the disclaimers and limitations of liability in Section 10 and the refund-allocation provisions of Section 13.
Nothing in this section creates any obligation for Cyrenium to continue operating the Services indefinitely or to maintain the availability of any specific feature, service, or content beyond the period required by applicable law.
13. Refunds
13.1 Refund and cancellation policy; precedence
This Section 13 governs all refunds, cancellations, and rescheduling for purchases made through Cyrenium. Except to the extent non-waivable applicable law provides otherwise, in the event of any conflict between this Section 13 and any other provision of these Terms, this Section 13 controls with respect to refunds, cancellations, and rescheduling. Refund eligibility, if any, may require the purchaser to provide the applicable order or receipt number, together with information sufficient for Cyrenium to verify that the request is associated with the purchaser’s Cyrenium account.
Refunds, chargebacks, credits, reversals, and other reimbursement requests will be administered in accordance with this Section 13 and applicable law. Except where a refund or related loss arises primarily from an educator's conduct (as described in the following paragraph), the refund and any associated transaction costs will be allocated between Cyrenium and the educator in proportion to the educator compensation percentages applicable to the original transaction under Section 3.6 (Educator earnings and Cyrenium service fee), unless otherwise required by applicable law or expressly provided in these Terms.
If a refund or related loss arises primarily due to an educator's conduct, including but not limited to intellectual-property infringement, violation of these Terms or applicable policies, fraud, misrepresentation, educator no-show, educator cancellation of any session, failure to deliver the purchased service or content, or other educator-caused breach or misconduct, the responsible educator shall be solely responsible for the full amount of the refund and any associated transaction costs, chargeback fees, payment processor fees, administrative costs, legal expenses, and other related losses incurred by Cyrenium.
13.2 On-Demand Courses (Self-Paced)
On-demand courses are pre-recorded video modules and related materials accessible immediately upon purchase.
A full refund is available within fifteen (15) days of purchase, provided the student has completed less than twenty-five percent (25%) of the course. Course usage includes completed lessons and the watched proportion of incomplete video lessons, with each lesson weighted equally. After fifteen (15) days from the date of purchase, or once the student has completed twenty-five percent (25%) or more of the course, no refund is available, except where required by applicable law.
13.3 Live session (One-Time Workshops/Class)
This applies to scheduled live-streamed events with a specific date and time.
(a) Student refunds.
Full Refund: Available if the cancellation request is submitted at least twenty-four (24) hours before the scheduled session start time.
Partial Refund (50%): Available if the cancellation request is submitted less than twenty-four (24) hours but at least six (6) hours before the scheduled session start time.
No Refund: Cancellations made less than six (6) hours before the scheduled session start time, or failure to attend a scheduled session without timely cancellation (“No Show”), are not eligible for a refund, except where required by applicable law.
(b) Educator no-show.
If an educator fails to join the live session within the ten (10)-minute grace period, the session shall be deemed canceled. If the educator joins within the grace period, the educator shall provide the full purchased session duration unless the student(s) expressly agrees to conclude the session at the originally scheduled end time. Affected students and educators must report the issue to Cyrenium within twenty-four (24) hours after the scheduled session end time to be eligible for a remedy. Any refund, credit, or other remedy shall be determined and processed in accordance with Section 13 (Refunds) of these Terms.
(c) Educator technical failure during the session.
If a critical internet outage, power outage, or other technical failure on the educator's end interrupts the live session, the educator shall have a grace period of up to ten (10) minutes to restore the session. If the educator restores the session within the grace period, the educator shall provide the student with the full purchased session duration unless the student expressly agrees to conclude the session at the originally scheduled end time. If the technical disruption exceeds the cumulative ten (10)-minute grace period, or if the educator is unable to restore the session, the session may be deemed disrupted. Affected students and educators must report the issue to Cyrenium within twenty-four (24) hours after the scheduled session end time to be eligible for a remedy. Any refund, credit, or other remedy shall be determined and processed in accordance with Section 13 (Refunds).
(d) Resolution options for (b) and (c).
If Cyrenium confirms an educator no-show or a qualifying educator technical failure, a full refund (100%) will be issued to the affected students to the original payment method, subject to verification and applicable law. As between Cyrenium and the educator, the refund cost and any associated processing or chargeback fees will be allocated in accordance with the general allocation rules set forth at the beginning of this Section 13.
(e) Attendance verification.
System logs information, participant join and leave records, and attendance duration records, meeting or AI service providers, communications, and any other information Cyrenium reasonably considers reliable when To verify attendance, participation, no-shows, session timing, technical issues, policy violations, refund requests, complaints, and other disputes or platform-related matters, Cyrenium may use automated systems, artificial intelligence (AI), platform records, system logs, non-image attendance information (including participant name lists, participant join and leave records, and attendance duration records), meeting information provided by integrated meeting or AI service providers, communications, and any other information Cyrenium reasonably considers reliable. Cyrenium may rely on such information, together with any other relevant evidence it reasonably deems appropriate, when making decisions regarding refunds, account actions, policy enforcement, investigations, compliance, and dispute resolution under these Terms. Cyrenium maintains meaningful human review of decisions that produce legal or similarly significant effects, and such decisions will not be based solely on automated processing. If you believe a decision was based on inaccurate or incomplete information, you may contest the decision and submit additional information or evidence for Cyrenium's reasonable review.
13.4 Intensive Live Courses (Multi-Session Programs)
This refers to intensive, cohort-based educational programs consisting of two or more scheduled live sessions delivered over a defined period to provide focused instruction on a particular subject, skill, examination, or learning objective.
(a) Pre-Launch Refund
A student may request a 100% refund if the request is submitted at least forty-eight (48) hours before the scheduled start of the first session.
(b) Late Cancellation Before the First Session
If a student cancels less than forty-eight (48) hours before the scheduled start of the first session, the student shall be entitled to a 75% refund of the purchase price.
(c) The First Session Rule
If a student attends any portion of the first scheduled session and determines that the program is not a suitable fit, the student may request a 50% refund within twenty-four (24) hours after the conclusion of the first session.
(d) Mid-Program Withdrawal
No refunds will be provided once the second scheduled session has commenced, except as otherwise required by applicable law or expressly provided in these Terms.
A student's failure to attend one or more scheduled sessions does not entitle the student to a refund, credit, replacement session, or extension of the program.
(e) Class cancellation by educator.
If an educator cancels an Intensive Live Course or other multi-session program before it begins, affected students will be entitled to a 100% refund. If an educator cancels or does not show in one or more scheduled sessions after the course has started and those sessions are not delivered, affected students will be entitled to a pro rata refund for the undelivered portion of the course. Educators must promptly notify Cyrenium of any cancellation or no-show, and affected students must report the cancellation or failure to deliver within twenty-four hours (24 hours) of the affected session or scheduled program start to be eligible for review and any available remedy under Section 13 (Refunds). 13.5 Digital Products (Templates, eBooks, Assets)
Digital products are instantly downloadable files (including PDF, ZIP, Canva templates, eBooks, and similar assets).
(a) General rule.
All sales of digital products are final and non-refundable due to the nature of digital intellectual property, except as expressly stated in this Section 13.5 or where required by applicable law.
(b) Exceptions.
Duplicate Purchase: If you accidentally purchased the same digital product twice in the same account, a refund for the second purchase will be granted if requested within seven (7) days.
File Corruption: If the downloaded file is corrupted and a functional replacement cannot be provided within a reasonable time after notice.
13.6 Services Disruptions
If a scheduled live session cannot be delivered or is materially disrupted due primarily to a technical failure, outage, or other issues caused by Cyrenium's platform or systems, Cyrenium will use reasonable efforts to restore the affected services as promptly as practicable. If the disruption materially prevents delivery of the purchased educational service, Cyrenium may, in its reasonable discretion and in accordance with Section 13 (Refunds), provide affected students with a full or partial refund, account credit, or other appropriate remedy. The educator shall not be responsible for any refund, credit, chargeback, or related costs arising solely from a disruption caused primarily by Cyrenium's platform or systems, provided the educator was ready and able to deliver the scheduled session.
13.7 General terms & processing
Refund Requests: To request a refund or report an educator's no-show, cancellation, or technical failure, contact Cyrenium at [email protected] within the applicable deadlines stated in this Section 13. Formal legal notices must instead be sent as provided in Section 11.6.
Refund Method: All refunds are returned to the original payment method used at checkout. Processing Time: Please allow five (5) to ten (10) business days for approved refunds to appear, subject to bank and processor timelines. Abuse Policy: Cyrenium reserves the right to deny refund requests to users who demonstrate a pattern of serial refunding, suspected fraud, policy violations, chargeback abuse, or other abuse of the platform to the fullest extent permitted by law.
13.8 Educator Account Deletion and Existing On-Demand Course Purchases.
Educators may request deletion of their account; however, account deletion shall not become effective until approved by Cyrenium. Upon receipt of a deletion request, Cyrenium may immediately remove the educator's courses and other educational offerings from public listing, so they are no longer available for new purchases while the request is under review. Cyrenium may delay or deny account deletion until it has verified that all outstanding obligations have been satisfied, including, but not limited to, completion of scheduled live sessions, Intensive Live Courses, multi-session programs, pending student access periods, payout reconciliations, refund requests, chargebacks, disputes, investigations, legal obligations, or any other matters arising under these Terms.
If an educator voluntarily deletes their account while students still have active access rights to purchased on-demand courses, the affected courses will be removed from public listing and will no longer be available for new purchases through the platform. However, students who purchased the courses before the educator's account deletion may continue to access the purchased content for the remainder of the applicable course access period displayed at the time of purchase, subject to these Terms and any legal, technical, or safety requirements. After the applicable access period expires, Cyrenium may permanently remove the content from the platform.
If an educator voluntarily deletes their account while an Intensive Live Course, multi-session program, scheduled live session, or other purchased live educational service is still in progress or has future scheduled sessions remaining, the educator remains solely responsible for fulfilling all outstanding obligations to enrolled students unless Cyrenium expressly agrees otherwise in writing. If the educator's account deletion prevents completion of the remaining sessions or otherwise materially affects delivery of the purchased services or content, any refunds, credits, chargebacks, fees, or other related costs shall be the sole responsibility of the departing educator and shall be handled in accordance with Section 13 (Refunds) and applicable law, including by deduction from any accrued or future payouts owed to the educator.
13.9 Educator Death or Legal Incapacity.
If an educator dies or becomes legally incapacitated, Cyrenium may, upon receiving reasonable notice and verification (which may include a death certificate, court order, letters of administration, or other documentation reasonably sufficient to establish the fact and the authority of any representative), take any of the following actions in its reasonable discretion and subject to applicable law: (a) remove the educator's offerings from public listing and discontinue new purchases; (b) continue providing students who purchased on-demand courses before the event with access for the remainder of the applicable access period displayed at the time of purchase, subject to these Terms and any legal, technical, or safety requirements, after which Cyrenium may permanently remove the content; (c) cancel scheduled live sessions and multi-session programs that can no longer be delivered and issue refunds or pro rata refunds to affected students in accordance with Section 13; and (d) hold accrued payouts for a reasonable period and release amounts properly owed to the educator's estate, heirs, or duly authorized legal representative once Cyrenium has verified identity, authority, and entitlement to its reasonable satisfaction. Any refunds, credits, or related costs arising from an educator's death or incapacity shall be handled in accordance with Section 13 (Refunds) and applicable law.
14. Educators' Payout
Educator earnings that have become payable under these Terms will be distributed in accordance with Cyrenium's designated payout schedule, as published or otherwise communicated through the Services. Cyrenium may modify the payout schedule from time to time upon reasonable notice. Before any payout is issued, applicable refunds, chargebacks, payment processing holds, fraud reviews, taxes, fees, and other lawful deductions may be applied. Only amounts that have become payable in accordance with these Terms are eligible for payout.
15. Scheduled Maintenance and Services Updates.
Cyrenium may periodically perform scheduled maintenance, software updates, security enhancements, bug fixes, or other operational improvements that may temporarily affect access to the platform or certain features. Except where immediate action is reasonably necessary for security, legal, or operational reasons, Cyrenium will use reasonable efforts to provide users with at least seventy-two (72) hours' prior notice of any scheduled maintenance or major platform update expected to materially affect live educational services. Cyrenium will use reasonable efforts to schedule such maintenance during periods in which no live sessions are scheduled and may temporarily prevent educators from scheduling new live sessions during the announced maintenance window. Educators and students acknowledge that temporary interruptions may occur as part of maintaining and improving the platform.
